USA SWIMMING'S VOLUNTEER LEADERSHIP STRUCTURE

President of USA Swimming

 

1. The President is responsible for directing, supervising and coordinating all activities of USA Swimming.

2. The President is the primary spokesperson of USA Swimming concerning matters of policy.

3. The President chairs meetings of the House of Delegates, the Board of Directors and the Executive
Committee. The president is responsible for the scheduling and the agenda of these meetings.

4. The President shall appoint all non-athlete members of all standing and ad-hoc committees and their respective chairs unless otherwise designated in the USA Swimming Rules & Regulations. The President is an ex-officio member of all committees. The President is a voting member of the Olympic International Operations Committee and the International Relations Committee.

5. The President signs, or delegates to the Executive Director, the signing of all corporate contracts and may affix the corporate seal on behalf of USA Swimming.

6. The President may sign checks, and is authorized to purchase, invest in, acquire, sell or receive, assign,
transfer or otherwise dispose of securities for USA Swimming in accordance with the financial policies of USA Swimming.

7. The President is empowered to appoint up to ten percent (10%) of the total membership as at-large members of the House of Delegates. One fourth (25%) of all those appointed shall be appointed in equal numbers from members, other than Athletes, of the five (5) LSC’s having the largest number of registered Athletes as of September 1 of the prior calendar year.

8. The President, with the consent of the Executive Committee, may appoint a temporary or permanent
replacement of any member of the board of USA Swimming in the event that a vacancy may occur in any office of USA Swimming caused by death, resignation, incapacity or other reason. In the case of zone directors and athlete representative recommendations will be secured from the appropriate zone or athletes committee. An appointment to fill a vacancy shall be with the full rights of the office. Final authority rests with the President.

9. The President shall appoint the Secretary and ex-officio members of the Board of Directors, subject to the approval of the Board of Directors. The immediate Past President of USA Swimming shall be an ex-officio member with voice but no vote. Additional ex-officio members may be appointed by the Board to serve at the pleasure of the Board with voice but no vote. An ex-officio member who fails to attend at least two regularly scheduled meetings of the Board per year shall forfeit his/her seat on the Board.

10. The President with concurrence described in Article 504.8 of the USA Swimming Rules & Regulations may assign to the Board of Directors emergency powers to act in the best interests of USA Swimming in such a manner as it deems necessary. The President shall make a fully detailed report including findings of fact, in writing, to the entire membership of the House of Delegates within 30 days of the action taken.

11. The President shall initiate strategic planning which shall provide a blueprint for the future growth and direction of USA Swimming.

12. The President is an ex-officio member and shall direct, supervise and coordinate the activities of the following committees:

Governance Committee
International Relations Committee

 

Administration Vice President

 

The role of the Administration Vice President is to direct, supervise, and coordinate those committees whose function relates directly to the operation of the Administration Division of USA Swimming.

This officer’s duties shall include the following:

1. The Administration Vice President is a member of the Board of Directors and the Executive Committee.

2. The Administration Vice President shall assume the duties of the office of President in the event that the
President is unable to perform these duties.

3. The Administration Vice President is responsible for the convention schedule at the annual meeting of the
House of Delegates.

4. The Administration Vice President is responsible for maintaining the USA Swimming Policy Manual of the Board of Directors.

5. The Administration Vice President shall be the chairman of the Administration Division of USA Swimming, as set forth in Article 506 of the USA Swimming Rules & Regulations and the USA Swimming Policy Manual. The Vice President shall conduct meetings of the Administration Division, as necessary, in conjunction with the annual meeting of the House of Delegates and at such other times as necessary.

6. The Administration Vice President is an ex-officio member and shall direct, supervise, and coordinate the activities for the following committees:
Awards Coordinator
Convention Education
Credentials/Elections
Registration/Membership
Rules & Regulations
Safety Education

7. The Administration Vice President shall maintain regular contact with the chairman and USA Swimming staff liaison of the above listed committees. The Vice President shall request and receive written committee reports on a regular basis.

8. The Administration Vice President shall submit a written summary of activities of the committees at each meeting of the Board of Directors. The Vice President shall carry to the committees any requests for additional information, or directives from the Board of Directors.

9. The Administration Vice President shall annually assist in the preparation of a budget for the programs and the administration of the committees under his/her jurisdiction. The Vice President shall have responsibility for the operation of these programs and committee administrations within the budget. The Vice President shall submit written requests at a scheduled meeting of the Board of Directors for funding requests that are not already budgeted or for the use of funds in a manner other than previously approved.

10. The Administration Vice President shall perform duties as set forth in the USA Swimming Rules & Regulations or as may be assigned by the House of Delegates, the Board of Directors, or by the President.

11. The Administration Vice President shall review all USA Swimming processes to ensure conformance with the Policy and Procedure Manual; e.g. submission of minutes, meeting notification, etc.

12. Annually provide the President a summary sheet indicating those members whose terms have expired as well as a summary of those who are ineligible for re-appointment to the same committee.

Note: In the first year of the new structure, provide the President with a summary sheet listing all necessary appointments (1, 2, 3, 4- year) needed for each committee.

 

Program Development Vice President

 

The role of the Program Development Vice President is to direct, supervise, and coordinate those
committees whose function relates directly to the operation of the Program Development Division of USA Swimming. The charge of the reporting committees is to create, organize, and evaluate programs that will support the development of the athlete membership.

The officer’s duties shall include the following:

1. The Program Development Vice President is a member of the Board of Directors and the Executive Committee.

2. The Program Development Vice President shall be the chairman of the Program Development
Division of USA Swimming, as set forth in Article 506 of the USA Swimming Rules & Regulations and the USA Swimming Policy Manual. The Vice President shall conduct meetings of the Program
Development Division, as necessary, in conjunction with the annual meeting of the House of
Delegates and at such other times as is necessary.

3. The Program Development Vice President is an ex-officio member and shall direct, supervise, and
coordinate the activities for the following committees:
Club Development
Disability Swimming
LSC Development
Diversity

4. The Program Development Vice President shall annually assist in the preparation of a budget for the programs and the administration of the committees and/or coordinators under his/her jurisdiction.

5. The Vice President shall have responsibility for the operation of these programs and committee
administrations within the budget. The Vice President shall submit written requests at a scheduled
meeting of the Board of Directors for funding requests that are not already budgeted or for the use of
funds in a manner other than previously approved.

6. The Program Development Vice President shall maintain regular contact with the chairs, coordinators and USA Swimming staff liaisons of the above listed committees. The Vice President shall request and receive written committee reports on a regular basis.

7. The Program Development Vice President shall submit a written summary of activities, of the
committees at each meeting of the Board of Directors. The Vice President shall carry to the
committees any requests for additional information, or directives from the Board of Directors.

8. The Program Development Vice President shall perform duties as set forth in the USA Swimming
Rules & Regulations or as may be assigned by the House of Delegates, the Board of Directors, or by the President.

 

Technical Vice President

 

The role of the Technical Vice President is to direct, supervise, and coordinate those committees whose function relates directly to the operation of the Technical Division of USA Swimming. The charge of the reporting committees is to create and implement strategies for the National Team and Senior Swimming programs.

The officer‘s duties shall include the following:

1. The Technical Vice President is a member of the Board of Directors and the Executive Committee.

2. The Technical Vice President is the Chairman of the Technical Division of USA Swimming as set
forth in Article 506 of the USA Swimming Rules and Regulations. The Vice President shall conduct
meetings of the Technical Division, as necessary, in conjunction with the annual meeting of the
House of Delegates of USA Swimming and at other times as necessary.

3. The Technical Vice President shall be a member of the Rules and Regulations Committee and an ex-officio member of the International Relations Committee.

4. The Technical Vice President is an ex-officio member of and shall direct, coordinate and supervise the activities for the following committees:
Age Group Development
Olympic International Operations
Senior Development
Steering

5. The Technical Vice President shall maintain regular contact with the chairman and USA Swimming staff liaisons of the above listed committees. The Technical Vice President shall request and receive written committee reports on a regular basis.

6. The Technical Vice President shall submit a written summary of the activities of the committees at each meeting of the Board of Directors. The Technical Vice President shall carry to the committees any request for action required by the Board of Directors.

7. The Technical Vice President shall annually assist in the preparation of a budget for the programs
and administration of the committees under his/her jurisdiction. The Technical Vice President shall
have responsibility for the operation of these programs and committee administration within the
budget. The Technical Vice President shall submit written requests at a scheduled meeting of the
Board of Directors for funding that is not already budgeted or for use of funds in a manner other than
previously approved.

8. The Technical Vice President shall be responsible for the establishment of coach education policy which shall be subject to Board of Director approval.

9. The Technical Vice President shall perform duties as set forth in the USA Swimming Rules and
Regulations or as may be assigned by the House of Delegates, the Board of Directors, or the
President.

 

Program Operations Vice President

 

The role of the Program Operations Vice President is to direct, supervise, and coordinate those
committees whose function relates directly to the operation of the Program Operations Division of USA Swimming. The charge of the reporting committees and coordinators is to implement plans and projects related to the conduct USA Swimming’s swimming events and programs.
This officer’s duties shall include the following:

1. The Program Operations Vice President is a member of the Board of Directors and the Executive
Committee.

2. The Program Operations Vice President shall be the chairman of the Program Operations Division of USA Swimming, as set forth in Article 506 of the USA Swimming Rules and Regulations and the USA Swimming Policy Manual. The Vice President shall conduct meetings, as necessary, of the Program Operations Division in conjunction with the annual meeting of the House of Delegates and at such other times as is necessary.

3. The Program Operations Vice President is a member of the Rules Committee and the Olympic
International Operations Committee.

4. The Program Operations Vice President shall submit timely and regular reports to the Board of
Directors on the programs and activities for the following committees and/or coordinators:
Championship Evaluation
Officials
Reimbursement Coordinator
Times and Recognition

5. The Program Operations Vice President shall annually assist in the preparation of a budget for the programs and the administration of the committees and / or coordinators under his / her jurisdiction. The Vice President shall have responsibility for the operation of these programs and committee administrations within the budget. The Vice President shall submit written requests at a scheduled meeting of the Board of Directors for funding requests that are not already budgeted or for the use of funds in a manner other than previously approved.

6. The Program Operations Vice President shall maintain regular contact with the chairs, coordinators and USA Swimming staff liaison of the above listed committees. The Vice President shall request and receive written committee reports on a regular basis.

7. The Program Operations Vice President shall submit a written summary of the activities, of the
committees at each meeting of the Board of Directors. The Vice President shall carry to the
committees any requests for additional information, or directives from the Board of Directors.

8. The Program Operations Vice President shall perform duties as set forth in the USA Swimming Rules and Regulations or as may be assigned by the House of Delegates, the Board of Directors, or the President.

 

Athletes’ Vice President

 

The role of the Athletes’ Vice President is to direct, supervise, and coordinate those committees and programs whose function relates directly to athlete matters and representation.

 

This officer’s duties shall include the following:

1. The Athletes’ Vice President is a member of the Board of Directors and the Executive Committee.

2. The Athletes’ Vice President is responsible for maintaining the Athletes’ Section of the USA
Swimming Policy Manual in conjunction with the National Administration Vice President.

3. The Athletes’ Vice President is the chair of the Athletes’ Executive Committee.

4. The Athletes’ Vice President shall appoint athlete representatives to serve one year terms on each committee of USA Swimming except the Olympic International Operations Committee, where
athletes are elected, and committees appointed by the President, whereupon the Athlete’s Vice
President shall make recommendations to the President.

5. The Athletes’ Vice President shall request and receive reports from the following Athlete Directors:
Olympic International Operations Director
National Operations Director
LSC Coordinator Director
Educational / Developmental Director

6. The Athletes’ Vice President shall annually assist in the preparation of a budget for the administration of the Athletes’ Executive committees and programs. The Vice President shall have responsibility for the operation of these programs and committee administrations within the budget. The Vice President shall submit written requests at a scheduled meeting of the Board of Directors for funding requests that are not already budgeted or for the use of funds in a manner other than previously approved.

7. The Athletes’ Vice President shall submit a written summary of the activities, of the committees at each meeting of the Board of Directors. The Vice President shall carry to the committees any
requests for additional information, or directives from the Board of Directors.

8. The Athletes’ Vice President shall perform duties as set forth in the USA Swimming Rules &
Regulations or as may be assigned by the House of Delegates, the Board of Directors, or by the
President.

Treasurer

The role of the Treasurer is to direct, supervise, and coordinate those committees whose function relates directly to the financial management of the Treasurer’s division USA Swimming.
This officer’s duties shall include the following:

1. The Treasurer shall be the officer responsible for the financial operations of USA Swimming, and
shall have all duties incident to that office, those specifically assigned by the Board of Directors;
those specified in the financial policies of USA Swimming, or those specifically set forth in Article
508.2 of the USA Swimming Rules & Regulations.

2. The Treasurer is a member of the Board of Directors and the Executive Committee.

3. The Treasurer is a member of the Investment Committee. The Treasurer in conjunction with the
President and with the approval of the Board of Directors, shall appoint three members of the
Investment Committee including the chair of the committee.

4. The Treasurer shall approve the USA Swimming annual budget for presentation to the Executive
Committee.

5. The Treasurer shall be responsible for presenting such budgets to the Board of Directors for approval  and to the House of Delegates for adoption at the USA Swimming annual meeting.

6. The Treasurer shall prepare an annual financial report to be presented to the House of Delegates at the annual meeting.

7. The Treasurer in conjunction with the Executive Director shall deliver to the Board of Directors or its auditors as requested, all money, accounts, books, papers, vouchers and records pertaining to the accounts of USA Swimming.

8. The Treasurer may sign checks, and is authorized to purchase, invest in, acquire, sell or receive,
assign, transfer or otherwise dispose of securities for USA Swimming in accordance with the financial policies of USA Swimming.

9. The Treasurer shall annually assist in the preparation of a budget for the administration of the
Investment Committee.

10. The Treasurer shall maintain regular contact with the chair of the Investment Committee and the
Controller of the Corporation. The Treasurer shall request and receive written reports from the chair
of the Investment Committee and the Controller on a regular basis.

11. The Treasurer shall submit timely written financial reports to the Board of Directors.

12. The Treasurer shall submit all budget adjustments presented to the Board of Directors.

13. The Treasurer shall submit a written summary of the activities of the Investment Committees at each meeting of the Board of Directors. The Treasurer shall carry to the committees any requests for additional information, or directives from the Board of Directors.

14. The Treasurer shall perform duties as set forth in the USA Swimming Rules & Regulations, the
financial sections of the USA Swimming Policy Manual, or as may be assigned by the House of
Delegates, the Board of Directors, or by the President.

15. The Treasurer shall receive reports from the Audit Committee.

Secretary / Legal Affairs and Corporate

 

The role of the Secretary is to direct, supervise, and coordinate those committees whose function relates directly to the operation of the Secretary’s division of USA Swimming.

This officer’s duties shall include the following:

1. The Secretary is a non-voting member of the Board of Directors and the Executive Committee.

2. The Secretary shall be appointed by and shall serve at the pleasure of the Board of Directors.

3. The Secretary shall perform such duties as is customary for such office, and in addition, shall be
responsible for the legal affairs of USA Swimming under the direction of the Board of Directors.

4. The Secretary will supervise the activities of the Board of Directors when the Board hears an appeal to a National Board of Review or in those matters where the Board of Directors accepts original jurisdiction.

5. The Secretary shall keep, or direct USA Swimming staff to keep, at the principal office of USA
Swimming, or such other place as the Board may direct, a book of minutes of all meetings,
proceedings, and actions of the Board and of members meetings.

6. The Secretary shall keep, or direct USA Swimming staff to keep, at the principal office of USA
Swimming, or such other place as the Board may direct, a copy of the Articles of Incorporation and
Bylaws, as amended.

7. The Secretary shall keep, or direct USA Swimming staff to keep, at the principal office of USA
Swimming, or such other place as the Board may direct, a record of the membership, showing each
member’s name, address and class of membership.

8. The Secretary shall keep, or direct USA Swimming staff to keep, at the principal office of USA
Swimming, or such other place as the Board may direct, a notice of all meetings of members and of
the Board of Directors of the corporation required by the Bylaws to be given.

9. The Secretary shall keep, or direct USA Swimming staff to keep the corporate seal in safe custody.

10. The Secretary shall have voice but no vote in any of the affairs of USA Swimming.

11. The Secretary shall perform duties as set forth in the USA Swimming Rules & Regulations, or as may be assigned by the House of Delegates, the Board of Directors, or by the President.

12. The Secretary shall receive reports from the Chair of the National Board of Review.
